NACD Connecticut Presents
The Role and "Value Add" of the Independent Director in Private Companies and Family Business
 

Proper composition of any Corporate Board is crucial to building a foundation meant to ensure the sustainable, long term success of an organization.  Too often, private companies and family businesses fill seats on their Boards with reliable “allies” rather than true “assets,” and as a result, their Boards can sometimes end up lacking either the necessary depth of intelligence or diverse range of experience needed to truly support management and the organization. 

At NACD-CT’s next breakfast program on March 2nd, hosted by Fairfield University, our panel will lend their substantial experience and tremendous knowledge to the matter of defining “The Role and ‘Value Add’ of the Independent Director in Private Companies and Family Business.”
 

Panel:
 
Joseph F. Berardino - Current CEO of Profectus BioSciences and former CEO of Arthur Andersen Worldwide, both private firms, as well as a multi-board director, Joe will focus on the areas he believes are critical for a successful Board/Management relationship, including aligning the Board in a supportive role with management and leveraging the Board’s experience. 
 

Jack Moore - Former director, Benjamin Moore Paints, Jack will focus on the unique value-adds of independent directors for family-owned businesses, based on his experience as a director at Benjamin Moore Paints and as leader of the NACD Family Business Initiative.  

Special Bonus: Immediately following the program, Jack Moore will stay to host an intimate roundtable discussion on issues family businesses are currently facing.  This discussion will begin by 9:15am and will conclude by 10:15.  There is no additional cost for this roundtable discussion, however, if you would like to stay for this, you must email oleary@nacdct.org by Wednesday, February 28th.
 

John Pouschine - is a founding member of Pouschine Cook Capital Management, and Chairman of the Board of A World of Tile, Doe & Ingalls Management, LLC, Latex International, Inc., and St. Clair Entertainment Group.  John will lead discussion on the evolving phases a private company Board typically undergoes, as well as the issues they face, and the value a strong independent director brings to this environment.
