A Discussion With Former Enron Director,
Herbert S. (Pug) Winokur

Please join the Connecticut Chapter of NACD when we kick off our fall program season with a truly special and insightful event for directors that will feature former Enron director, Herbert S. (Pug) Winokur. Attendees should expect much in the way of “intellectual takeaways” as Mr. Winokur shares with our members and guests the valuable lessons he learned from Enron’s collapse and from the various other Boards on which he has served; how he survived a director’s “worst nightmare;” and perhaps most importantly, how other directors can add value while understanding better the risks they are running, both financial and reputational.

(1) What is your job-- to direct and not to detect. When you sign a Form 10k, what does that mean?

(2) What are the real benefits and costs you garner from being a director-- rewards and risks (and how to mitigate the latter)

(3) Who are your friends and allies-- management? Lawyers and accountants? Banks/investment banks? Rating agencies? And how to make sure....
